Thank you for choosing UserArc! We, 8bit Company LLC, provide a smart link-tracking platform that shortens URLs, tracks user journeys, and optimizes conversions. By accessing or interacting with our servers, website, services, or any associated content/postings (collectively referred to as "UserArc"), you agree to these Terms of Service ("TOS"), effective as of the last update. UserArc is privately owned and operated by 8bit Company LLC. If you are using UserArc on behalf of a business, you represent and warrant that you have the authority to agree to these TOS on behalf of that business, and that the business consents to these TOS. If you do not agree with the TOS, you are not authorized to use UserArc.
We reserve the right to modify these TOS at any time at our sole discretion. It is your responsibility to periodically check for updates. By continuing to use UserArc after changes are made, you accept and agree to the revisions.
UserArc is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee uninterrupted or error-free service. Service availability may be affected by maintenance, updates, technical failures, third-party service issues, or unforeseen circumstances.
While we strive to restore service as quickly as possible, 8bit Company LLC is not responsible for any data loss, unavailability, or other disruptions. Users assume all risks associated with using UserArc. We shall not be liable for lost data, business interruptions, revenue losses, or other damages resulting from service downtime or technical issues.
Subject to your compliance with these TOS, UserArc grants you a limited, revocable, non-exclusive, non-transferable license to access and use UserArc. You may not use content from UserArc for any commercial purpose, including "framing," making derivative works, distributing, licensing, or selling, except for URLs you create. You grant us a perpetual, irrevocable, unlimited, worldwide, fully paid/sublicensable license to use, copy, display, distribute, and create derivative works from the URLs or other content you post on UserArc.
You agree not to engage with UserArc in any manner that:
We reserve the right to moderate, limit, or restrict access to UserArc at our sole discretion.
It is solely the customer's responsibility to adhere to all applicable laws and regulations regarding privacy and tracking on their websites. UserArc does not provide legal guidance or compliance monitoring. UserArc is not responsible for notifying a customer’s users about data collection, cookies, or other tracking activities. All liability regarding compliance with privacy laws, including but not limited to GDPR, CCPA, and other regulations, rests entirely on the customer.
If you violate these TOS, you agree to liquidated damages as detailed in our penalty schedule, which are reasonable and not a penalty. These are designed to compensate us for breaches that are often difficult to quantify financially.
For any paid services or features on UserArc, fees are charged as described at the time of the transaction. These fees are non-refundable, even if your URLs or postings are moderated or removed by us. All applicable taxes are additional.
All proprietary content, trademarks, service marks, brand names, logos, and other intellectual properties displayed on UserArc are the exclusive property of 8bit Company LLC or their respective owners. This includes URLs created by users, which you grant us a perpetual, irrevocable, worldwide license to use in our marketing materials or other business-related uses.
You agree to indemnify and hold harmless 8bit Company LLC and its affiliates from any claims, liabilities, damages, or costs that arise from your use of UserArc in violation of these TOS or your violation of any law or the rights of a third party.
UserArc is provided on an "AS IS" and "AS AVAILABLE" basis. 8bit Company LLC shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from your use of UserArc, including but not limited to damages for lost data, profits, or business interruption.
All disputes related to these TOS or your use of UserArc will be resolved by binding arbitration under the rules of the American Arbitration Association, rather than in court.
These TOS are governed by the laws of the state in which 8bit Company LLC is registered, without regard to conflict of law principles.
8bit Company LLC is not responsible for any issues arising from server downtime, unavailability of services, or problems with link functionality, including but not limited to forwarding failures, delays, or errors. While we strive to maintain consistent and reliable operations, interruptions may occur due to maintenance, updates, third-party dependencies, or unforeseen circumstances. You acknowledge and agree that you use UserArc at your own risk and that we shall not be held liable for any damages or losses resulting from such issues.
These TOS constitute the entire agreement between you and UserArc regarding its subject matter. If any part of these TOS is deemed invalid or unenforceable, that part will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect. Our failure to enforce any part of these TOS does not waive our right to later enforce that or any other part of these TOS.
